Antitrust regulatory approval of the transaction has been received

Eindhoven, the Netherlands, June 14, 2011. NXP Semiconductors N.V. (NASDAQ: NXPI) provides an update on the timing of the closing of the Sound Solutions transaction.

As previously announced, NXP Semiconductors N.V. and Dover Corporation (NYSE: DOV) signed a definitive agreement in December 2010 pursuant to which Dover will acquire the Sound Solutions business of NXP Semiconductors N.V. for approximately $855 million. Today, NXP announced that antitrust regulatory approval of the transaction, which was a key closing condition, has been received. Final closing of the transaction is expected to occur early July, 2011.
